Ltd., a health tech company with registered office at 57 BANGUR PARK, 2nd LANE PO RISHRA, HOOGHLY, KOLKATA Hooghly WB 712248 INDIA has set up and operates a technology-based platform that facilitates various healthcare services including home based healthcare along with Telemedicine using online video/audio platforms.

RIGHTS AND OBLIGATIONS OF Curealyf:

CureAlife Healthtech Pvt Ltd shall be responsible for

The development of it’s platform
It’s day to day upkeep, operation, accessibility
Upgradation of it’s platform (subject to unforeseen technical errors/failures).

The Company shall reasonably ensure that the technology and experience provided by it and its personnel are of the highest quality and standard.

The Company shall

Connect patients with the Health professionals on the basis of their medical requirements and specific preferences.
It is not responsible for the accuracy of information provided by the patients.
Collect and store all data provided by the patients and Clinicians.
Medical reports issued by the Health professionals at its sole cost and expense.

Rights and obligations of physiotherapist / occupational therapist doctor/nurse/psychologist/dietitian/ Travel companion (the health professionals):

They shall not enter into any agreement or arrangement which will bind CureAlife Healthtech Pvt Ltd legally or otherwise.
They shall be intimated by the Company of an appointment booking by an agreed mode and he/she shall have the option of rescheduling or canceling the appointment at that time independent of CureAlife Healthtech Pvt Ltd management.
They shall provide the patients with treatment appropriate for their medical ailments as limited by the existing home based care guidelines, if any.
They agree to utilize the sensitive patient information only for consultation purposes.
The Company shall not be solely liable for any claims/ damages in respect of the medical services, treatment and care rendered by them.

DATA PRIVACY & SECURITY:

CureAlife Healthtech Pvt Ltd website is SSL certified.
Neither Party shall disclose personal or sensitive information without following applicable privacy, security and data protection laws, rules and regulations.
The patients are not asked to disclose any personal or sensitive data other than related to the illness and the treatment/ management thereof.
The health professionals agree to allow the CureAlife Healthtech Pvt Ltd to use the information/data, including data received of and from the patients for the purpose of enhancing the CureAlife Healthtech Pvt Ltd platform technology, research and analysis, in accordance with applicable laws.
The health professionals shall not publish or use any advertising, sales promotion or publicity matter relating CureAlife Healthtech Pvt Ltd without the foundation’s prior written approval.

QUALITY OF SERVICE: Parties hereby agree to:

Provide their services in timely and efficient manner conforming to the highest standard of medical care, skill and expertise.
Act in good faith and in the best interests of the other party.
Keep the other party informed of all matters regarding the provision of the services and all other matter deemed necessary.

INDEMNITY:

The health professionals shall indemnify, defend and hold CureAlife Healthtech Pvt Ltd harmless from all actions, proceedings, complaints, claims, damages, demands, liabilities, costs, expenses, etc. arising out of or in relation with any violation of confidentiality obligations, any form of medical negligence, any violation of the intellectual property rights of the Foundation, any act of willful misconduct, gross negligence by the health professional and any statutory violation/ any other act which may have any form of legal impact on the Foundation.

CONSENT:

Patient consent is mandatory for any kind of consultation. The consent can be Implied i.e. if the patient books a consultation and visits clinic or himself initiates the telemedicine consultation. In Telemedicine the consent may be Explicit where patient consent is recorded in the form of an email, text or audio/video message.

MISCELLANEOUS:

A Party shall not be liable or required to perform any of its obligations (except for payment obligations) under this Agreement in the event of any contingency beyond the reasonable control of the Party, such as an act of God, flood, earthquake, war or national emergency, insurrection, any epidemic, and/or an act of terrorism and change in government policies.
